sorry small mistake...

..SCO would both need to need to have those rights to act as an agent in 
accordance with the agreement...

In otherwords, Novel is arguing there is no legal need for SCO to get 
copyrights from Novel under the agreement and copyrights would have only 
been transfered (and even in that case not necesarily in entirety)  if 
there was a legal need in order for SCO to "take ownship".  Also, SCO 
would have needed to ask Novel to grant those rights which Novel never 
did.  So the case the SCO has those rights is very very very much in 
dispute.

And how much those rights mean anyway is another issue completely.
